Guide

What you need to know

Yes for many companies. Section 177(9) of the Companies Act 2013 requires listed companies and certain other classes of companies to establish a vigil mechanism, and Regulation 22 of SEBI’s LODR Regulations requires listed entities to have one. The mechanism must protect users against victimisation and allow direct access to the audit committee chair in appropriate cases.

Frequently asked questions

How long does a whistleblower investigation take?

It depends on the allegation, the number of people involved and the volume of data. A preliminary review can be short; a full investigation takes longer. We agree a plan and timeline with the committee at the outset.

Will the person complained about find out?

Not until the committee decides they should. Data preservation, records review and background research happen discreetly; interviews are scheduled once evidence is secure.

How is the whistleblower protected?

Their identity is shared only with those who need it, communication runs through the committee or its counsel, and the investigation plan is designed so that evidence, not the complainant, carries the case.

Do whistleblower complaints have to be reported to regulators?

Reporting duties depend on the facts and the entity, for example auditors’ fraud reporting under section 143(12) of the Companies Act or sector regulators’ requirements. Take legal advice; our report is structured so counsel can rely on it.

Can you investigate harassment complaints?

Complaints under the POSH Act go to the Internal Committee, which runs its own inquiry. We support such inquiries with fact-finding, digital evidence and document review where the committee or counsel asks us to.
